Terms of Service and Purchase (Public Offer)

1. Definitions
- Provider — Tekvel FZCO, a Free Zone Company established in Dubai Silicon Oasis (Registration No. DSO-FZCO-20909; Trade Licence No. 22594 issued by the Dubai Integrated Economic Zones Authority; KHDA Educational Services Permit No. 630949).
- Site — the Provider's website at fee.digital.
- Customer — an individual who accepts this offer under Section 2.
- Acceptance — the Customer's full and unconditional acceptance of these Terms under Section 2.
- Platform — the Provider's online learning environment (personal account on the Site) through which access to the Materials is granted.
- Services — training and information services and the provision of access to the Materials, supplied by the Provider for a fee in one of the following formats:
- Online course — a distance-format course comprising recorded sessions, access to the Materials and self-study exercises, with access for the period stated on the Service's product page; where no period is stated, the Provider guarantees access for 3 years from the date access is granted.
- Webinar — an online session delivered live and/or made available as a recording.
- Bundle — a set of Online courses and/or Webinars purchased as a single product at a single price.
- Materials — the Provider's (and its contractors') intellectual property — video and audio recordings, texts, presentations, exercises and other materials — supplied to the Customer as part of the Services.
2. The offer and acceptance
2.1. This document is a public offer by the Provider to conclude a contract for the supply of the Services on the terms below.
2.2. Acceptance occurs when the Customer places and pays for an order on the Site, or ticks the box accepting these Terms. On Acceptance a binding contract is formed.
2.3. This offer is addressed to individuals. Legal entities are served under a separately concluded agreement, to which this offer does not apply.
3. Subject and accreditation
3.1. The Provider will supply the Customer the Services selected on the Site (an Online course, a Webinar and/or a Bundle), and the Customer will accept and pay for them.
3.2. The name, programme, format, scope, duration and price of each Service are shown on the corresponding page of the Site and in the order.
3.3. The Provider conducts training under KHDA Educational Services Permit No. 630949 and Dubai Integrated Economic Zones Authority Trade Licence No. 22594.
3.4. The Provider may supply the Services itself or engage third parties, remaining responsible to the Customer for their supply.
4. Price and payment
4.1. Prices are shown on the Site in US dollars. The Provider may change prices; changes do not apply to orders already paid.
4.2. Payment is made in advance (100%) through the payment provider integrated on the Site (Stripe). Payment is complete when funds are received by the Provider.
4.3. Any payment-provider commission is not included in the price of the Services and is borne by the Customer.
4.4. If the amount received is less than the price of the Service, no contract is formed and the funds are returned to the Customer.
5. Delivery and access to the Materials
5.1. The Services are delivered within the timeframe and in the format stated on the Service's page. Access is granted by sending to the Customer's email a link to the Platform and account credentials (login, password) or a unique activation key.
5.2. Moment of supply. A Service is treated as duly supplied and accepted, without a signed acceptance act, at the moment access is granted — when the login and password or the unique key are sent to the email given at order. This provision governs refunds (Section 7).
5.3. Licence to the Materials. The Customer is granted a simple (non-exclusive) licence to use the Materials for personal purposes only (viewing, listening, study, reproduction for oneself) for the period stated on the Service's page; where no period is stated, for 3 years from the date access is granted.
5.4. Where the conditions of a particular Service so provide, the Customer may receive an electronic Attendance Certificate. Such a certificate confirms attendance only and is not a formal qualification or a document of education.
6. Rights and obligations
6.1. The Provider will supply the Services with due care and provide access to the paid Materials.
6.2. The Customer will provide accurate information at order and comply with these Terms.
6.3. No sharing of access. The Services are supplied to the Customer personally. The Customer must not disclose access credentials (login, password, unique key, link) to third parties.
6.4. No recording or redistribution. The Customer must not record, copy, publish, distribute or retransmit (including for a fee) the Materials or sessions.
6.5. On breach of Sections 6.3–6.4 or on unacceptable conduct, the Provider may suspend or terminate access without refund, claim liquidated damages of USD 10,000 for each such breach, and pursue all other remedies available under the applicable law, including recovery of losses.
7. Cancellation and refunds
7.1. A Customer who is a consumer has the rights afforded by UAE Federal Law No. 15 of 2020 on Consumer Protection and its implementing regulation. Refunds are determined taking into account the moment of supply (Section 5.2).
7.2. Before access is granted (before the login/password or unique key is sent; for a Service with a start date, before that date), the Customer may cancel and receive a refund less any costs the Provider has actually and reasonably incurred.
7.3. After access is granted, the Service is treated as supplied (Section 5.2) and the amount paid is non-refundable, save where a refund is required by applicable consumer- protection law.
7.4. Refund procedure. A request is sent from the email used at order to aao@tekvel.com and must state the Customer's full name, contact phone and email, the reason, and bank details for the transfer. The Provider decides within 10 business days and, if approved, refunds by the original method within 10 business days.
7.5. If the Customer does not use the access granted for reasons outside the Provider's control, the Services are treated as duly supplied and no refund is due.
8. Liability, warranties and force majeure
8.1. Limitation of liability. The Provider's aggregate liability under any claim connected with this contract is limited to the amount paid by the Customer. Only actual damage is recoverable, not lost profit.
8.2. The Services and Materials are provided "as is". The Provider is not responsible for the Services failing to meet the Customer's subjective expectations; the information provided is not a guarantee of a particular result, and the Customer makes decisions on it independently and at their own risk.
8.3. The Provider is not liable for an inability to supply the Services for reasons outside its control (including connectivity or equipment failures on the Customer's side).
8.4. Force majeure. Neither party is liable for failure caused by events beyond its reasonable control, including acts of public authorities, fire, flood, earthquake and other natural disasters, power outages and/or network failures, strikes and civil unrest.
9. Personal data
By placing an order the Customer confirms consent to the processing of personal data on the terms of the Privacy Policy and the Consent to the Processing of Personal Data. Consent to marketing communications is given separately and is not a condition of the contract.
10. Correspondence and electronic signature
10.1. For legally significant correspondence the parties use: for the Provider — aao@tekvel.com; for the Customer — the email given at order.
10.2. The parties agree that messages sent from these addresses have the force of documents signed with a simple electronic signature.
11. Changes, governing law and disputes
11.1. The Provider may amend this offer. The current version is published on the Site; continued use of the Site constitutes acceptance of the new version. The version and effective date appear at the top of the document.
11.2. These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. Disputes are resolved by negotiation and, failing agreement, by the competent courts of Dubai.
